Organization, Management and Control Model (Legislative Decree 231/2001)
Legislative Decree 231/2001 introduced into the Italian legal system the administrative liability of Companies for specific types of offenses (so-called “predicate offenses”) committed in the interest or to the advantage of the entity by individuals functionally linked to it.
Such liability can be excluded if the Company proves that, prior to the commission of the act, it had adopted and effectively implemented an Organization, Management and Control Model suitable for preventing the commission of the predicate offenses, and entrusted an autonomous Supervisory Body with the task of overseeing its functioning and compliance.
In this context, Unigrà has adopted its own Organization, Management and Control Model — based on a rigorous analysis of the corporate organizational structure and its internal control system. This model is binding for all individuals who, in various capacities, maintain professional or collaborative relationships with Unigrà. Furthermore, the company has appointed an independent Supervisory Body with monitoring functions over the Model.
The adoption of the Model, along with the corporate Code of Ethics, reflects Unigrà’s concrete commitment to continuous improvement and the creation of a responsible corporate culture.
